Frontrun Terms of Service

Effective date: October 20, 2026

These Terms of Service (the Terms) govern your access to the Frontrun websites, including https://www.frontrun.pro, the Frontrun browser extension distributed through the Chrome Web Store, and the related interfaces, APIs, wallet tools, trading tools, analytics, subscriptions, and support that we make available under these Terms (the Services).

Your agreement is with Wifhat, Inc., a Delaware corporation, referred to as Wifhat, we, us, or our. You means the person using the Services and, if that person is acting for an organization, the organization they are authorized to represent.

DISPUTE NOTICE: SECTION 18 PROVIDES FOR INDIVIDUAL ARBITRATION AND A WAIVER OF CLASS PROCEEDINGS, SUBJECT TO THE EXCEPTIONS AND OPT-OUT RIGHT IN THAT SECTION. READ IT BEFORE ACCEPTING THESE TERMS.

1. Agreement and related policies

You agree to these Terms by accepting them through a process we provide or by accessing or using the Services after receiving notice of these Terms sufficient to establish acceptance under applicable law. If you do not agree, do not use the Services.

If you act for an organization, you represent that you have authority to bind it. You must also comply with any additional terms clearly presented for an optional feature before you choose it. A separate agreement signed by Wifhat prevails over these Terms for the subject it specifically covers.

Our Privacy Policy explains our handling of personal information. Acceptance of these Terms does not replace a separate privacy consent or authorization where one is legally required.

2. Eligibility and restrictions

You must be at least 18 years old, have legal capacity to enter this agreement, and be permitted to use the particular Services under the laws applicable to you. If the legal age for entering this agreement where you live is higher, you must meet that requirement too.

Availability of a feature is not a representation that every asset, transaction, or use is lawful in every location.

You may not use the Services where providing them to you would violate applicable sanctions, export restrictions, or other law. This includes prohibited dealings involving a blocked person, a legally restricted territory, or an entity subject to applicable ownership or control restrictions. You must not misrepresent your identity or location or use a VPN or another method to evade a restriction.

We may limit particular features, assets, or locations, request information reasonably necessary for applicable legal or security checks, and decline access where necessary. Any collection and disclosure of information remains subject to the Privacy Policy and applicable law.

3. Accounts and security

Provide accurate registration information and keep your account credentials, authentication methods, devices, and recovery materials secure. Use only wallets and accounts you own or are authorized to control. Notify [email protected] promptly if you suspect unauthorized access.

You are responsible for the instructions you give and for people to whom you grant access. This does not make an unauthorized transaction authorized.

Authentication through an email, social account, wallet, or another provider also depends on that provider. Losing access to an authentication method may interrupt your access to Frontrun or a wallet feature.

4. Services and information

Depending on the feature and supported network, Frontrun provides wallet creation or import, wallet monitoring, labels and shared label spaces, social and blockchain information, transaction interfaces, conditional orders, automated trading, copy trading, alerts, and related tools. Feature availability can differ by device, subscription, network, and location.

Wallet labels, identity associations, token rankings, activity alerts, social information, and analytics may be incomplete, delayed, incorrectly attributed, or outdated. A label, ranking, or display does not verify a person's identity, establish that two wallets have the same owner, certify a token as safe, or guarantee a future result. A displayed historical return does not predict your return.

Our information and tools are not personalized investment, legal, accounting, or tax advice. We do not undertake to decide whether a trade is suitable for you. You choose the assets, strategies, transaction parameters, and risks you accept. You should obtain independent advice where appropriate.

5. Wallets, keys, and delegated authority

Frontrun supports different wallet and signing arrangements. Some features use keys stored on your device; others use embedded wallet infrastructure or third-party signing services, including Turnkey. Importing a wallet, enabling a signing feature, and authorizing an automated order can create different permissions. Do not assume that every wallet feature has the same security or recovery model.

When you enable a supported delegated signing feature, you authorize the signing and submission needed to carry out the instructions you provide through that feature. A permitted transaction may be signed without a new confirmation from you for each transaction, including while you are offline. This permission is limited to the instructions and functionality you authorized.

Maintain independent backups of exportable keys and recovery materials using secure methods. Availability of an export or recovery feature does not guarantee successful recovery after every device failure, account loss, provider outage, or security incident. Anyone who obtains sufficient key material or signing credentials may be able to move assets.

Assets remain subject to the relevant wallet permissions and blockchain protocols. A Frontrun account is not a bank deposit or an insurance product. Nothing in these Terms promises deposit insurance or guarantees the value of assets.

6. Transactions and automated orders

Before submitting a transaction or enabling an automated feature, review the network, asset address, wallet, amount, fees, slippage, approval permissions, and other settings. A ticker or name can identify multiple unrelated assets. A token approval can allow a smart contract to spend assets until the approval expires or is revoked.

A quote, displayed price, simulated result, alert, or trigger is not a guarantee of execution, execution time, liquidity, or final price. Transactions can fail, execute partially where the feature permits, encounter token taxes or transfer restrictions, or incur network costs without producing the result you intended. A stop-loss or similar feature cannot guarantee a maximum loss.

Supported transaction features may use software to select execution paths, liquidity sources, pools, or transaction-submission providers. A displayed market or chart does not by itself promise a particular execution path. No route or automatic or suggested setting is guaranteed to provide the best available price, lowest total cost, fastest execution, or complete protection from MEV. Automatic settings depend on the information available when calculated and may not suit your objectives. Any routing or parameter-selection authority remains within the scope you authorize for the feature.

Claims concerning errors in Wifhat's routing, transaction construction, signing, or execution software are subject to Section 16 and applicable law.

An automated order, including a limit order, take-profit, stop-loss, trailing order, or enabled copy-trading instruction, directs the Services to act using the applicable settings when the relevant conditions are detected. Price detection, order validation, signing, broadcasting, and blockchain confirmation occur at different times. Market conditions can change between them.

To stop an outstanding automated order, cancel that order in the Services and check its resulting status. A cancellation request can race with triggering, signing, or submission. Cancellation cannot reverse a confirmed blockchain transaction or guarantee that a transaction already submitted will be stopped. Cancelling an order does not necessarily revoke a separate wallet signing permission or on-chain token approval.

Signing out, closing the browser, or uninstalling the extension does not itself cancel server-side orders. Cancel each instruction you no longer want active. If you use copy trading, the trades available to your wallet may differ in price, size, timing, and outcome from those of the wallet you follow. Copy trading is not a promise that we or the followed trader will manage your portfolio in your interests.

Blockchain transactions are generally irreversible. We do not promise that we can freeze assets, recover a transfer to the wrong address, reverse an executed trade, or repair an action performed by an independent protocol.

7. Fees and third-party compensation

Subscription charges, trading fees, API charges, and other Wifhat fees are the amounts or calculation methods disclosed for the applicable feature before you authorize it. Rates can differ by network, route, plan, and program. A percentage advertised for one feature does not apply to every transaction.

Blockchain network fees, priority fees, tips, protocol charges, token taxes, bridge costs, and charges imposed by other providers are separate unless expressly included. Estimates can change before execution. Failed transactions may still incur network or provider charges.

Wifhat may receive compensation from infrastructure providers, validators, transaction submission providers, or other partners in connection with use of the Services. This may include a share of eligible transaction fees or tips. Such arrangements can create financial incentives in the selection of providers and routes. We do not promise that every route is the cheapest or that every third-party payment is shared with you. Any Fee Cashback entitlement is governed by Section 9.

Changes to Wifhat fees apply prospectively after the applicable disclosure and any notice or consent required by law. A change does not rewrite an already earned Fee Cashback entitlement. Subscription price changes follow Section 8.

8. Subscriptions, automatic renewal, and refunds

8.1 Purchases and plan access

The purchase screen identifies the plan, price, currency or conversion method, billing period, and any usage limits. Where payment is quoted in a digital asset, pay the correct asset on the specified network to the designated address within the quote's validity period. An expired quote, wrong-network payment, or unsupported asset may prevent automatic activation. Contact [email protected] about a payment discrepancy; recovery is not always technically possible.

Plan features and limits are described in the applicable offer. Any trial length, trial conversion, upgrade adjustment, or subscription credit must be disclosed before you accept the offer. We will not enroll you in paid automatic renewal solely because you accepted these Terms.

8.2 Automatic renewal authorization

If you separately enable automatic renewal, you authorize recurring payment for your selected plan and billing period until you disable it. Available subscription credits are applied first; the remaining amount is charged to the wallet you selected using the payment asset and conversion method disclosed in the renewal flow. The number of digital-asset units can change when the subscription price is expressed in another currency.

Renewal processing and a renewal charge may occur during the 24 hours before your current paid period ends. The renewal offer must disclose this charging window before you enable it. No additional transaction-by-transaction confirmation is required for a charge within your authorization. You are also responsible for applicable network costs disclosed in that flow.

You can turn off automatic renewal in Plan Settings. Disable it before the charging window begins if you do not want the next renewal. Once your cancellation is received, we will not initiate another renewal charge under that authorization; a transfer already submitted may still settle. Disabling renewal does not itself reverse a payment already made or cancel a trading order. If the setting is unavailable, contact [email protected] so we can assist with cancellation.

Closing a browser or uninstalling the extension does not reliably cancel the renewal authorization. Conversely, a closed browser, expired session, insufficient wallet balance, provider interruption, or another technical condition may prevent a renewal charge. We do not guarantee uninterrupted access if payment fails.

Changes to recurring subscription prices or billing terms will apply prospectively, subject to the disclosures, notice periods, and consent required by applicable law. The notice will explain the change and how to disable automatic renewal before it applies. Where renewed consent is required, we will not charge the changed amount without that consent.

8.3 Refunds

Subscription payments are non-refundable, and unused time is not refundable, except where applicable law requires otherwise or we expressly agree in writing. Cancelling renewal normally leaves your already paid access in place until the end of that period, unless access is suspended for a reason permitted by these Terms.

This policy does not permit us to retain a duplicate payment, an unauthorized charge, or another amount we are legally required to return. A mandatory consumer remedy, cancellation right, or withdrawal right remains available where applicable. Any legally required consent to immediate performance or loss of a withdrawal right must be obtained separately; these Terms alone do not supply it.

9. Fee Cashback, referral rewards, and credits

9.1 Fee Cashback

Fee Cashback is a return to the original fee-paying user of an eligible portion of that user's own Wifhat trading fee. It is distinct from a referral payment or a separate promotional reward.

The applicable rate and eligible fee are those disclosed for the transaction. Once an eligible trade completes and its fee is collected, the corresponding Fee Cashback is earned, subject to the claim-period provisions below. Changes to rates or discontinuation of the program apply prospectively and do not themselves cancel an earned amount.

Fee Cashback is calculated and payable in the asset units in which the eligible fee was collected, using the applicable rate. A later change in that asset's market value does not change the number of units owed. A displayed fiat equivalent is informational. We will not replace an earned claim with subscription credit without your affirmative choice.

For Fee Cashback earned from transactions after these Terms become effective for you, and only where a contractual claim deadline and retention of unclaimed amounts are lawful, you must submit a valid payout request within one year after the amount is earned. This deadline applies only if it was disclosed before you incurred the eligible trading fee. To the extent permitted by applicable law, an amount not claimed within that period expires, your contractual right to that amount ends, and Wifhat may retain the corresponding amount for its own account. This rule does not shorten the rights applicable to previously earned Fee Cashback.

Unclaimed-property, escheat, and other mandatory laws take precedence over that deadline and retention rule. Where those laws require continued payment rights, reporting, or delivery to a public authority, Wifhat will handle the amount as required; it does not become Wifhat's property merely because a year has passed. An amount covered by a valid request submitted in time does not expire merely because processing finishes later. The claim period does not run while no claim channel we provide is reasonably available for the affected amount.

You may request payment through the claim function. Processing may be batched or delayed by network conditions, blockchain confirmation, security checks, or reconciliation. No particular confirmation or payout time is guaranteed. Wifhat bears the blockchain network fees for Fee Cashback payouts it makes under this Section and does not deduct those fees from the amount payable to you. This does not cover network fees for transactions you independently initiate, including onward transfers after receipt.

We may investigate suspected fraud, abuse, prohibited activity, or accounting errors and suspend processing of affected claims while the investigation is pending, subject to applicable law. We may correct entries to reflect the applicable program terms, fees actually collected, and settled transactions. Suspension, termination, or an investigation does not by itself forfeit an otherwise valid amount remaining payable under this Section. Contact [email protected] to submit a claim or request assistance if the claim interface is unavailable.

9.2 Referral and promotional programs

Participation in a separate referral or promotional program is governed by its disclosed eligibility, attribution, earning, and payout conditions. These programs do not change the Fee Cashback rights above. We may change or end future program participation prospectively. Existing earned amounts remain subject to the conditions under which they were earned and applicable law.

Do not create fake referrals, manipulate volume, use multiple identities to evade program limits, send unlawful unsolicited promotions, or misrepresent your relationship with Wifhat. Disclose a referral incentive where required. We may investigate suspected abuse and suspend processing of affected payments while the investigation is pending, subject to the applicable program rules and law. Any correction or forfeiture must have a valid basis in those rules or law.

9.3 Credits

Subscription credits can be used only as described when issued or when you elect a conversion. They are not a transferable digital asset, bank balance, or promise of a future token. Restrictions on credits do not convert earned Fee Cashback into credits or eliminate a monetary remedy required by law.

10. Third-party platforms and extension permissions

Frontrun can display overlays and tools on independent websites and interact with third-party wallets, exchanges, protocols, RPC services, bridges, social networks, and signing infrastructure. Their terms, availability, permissions, and charges also affect your use.

Subject to applicable law and Section 16, you bear the risks of using independently operated third-party services and protocols. We do not warrant their performance and are not responsible for losses caused solely by their independent acts or failures. Claims concerning Wifhat's own acts or omissions remain governed by Section 16.

An integration, label, link, or overlay does not establish sponsorship, endorsement, or a partnership. Third-party platforms can change their interfaces, restrict integrations, or discontinue access. We do not guarantee continuing compatibility with any particular platform. Your permission to install the extension does not waive another provider's rights or authorize a prohibited use of its platform.

The extension requests browser permissions needed for its functionality. Review those permissions and the Privacy Policy before installing or enabling a feature. Removing a permission can disable that feature. Browser permissions alone do not authorize a trade or recurring subscription payment. Information handling is addressed in the Privacy Policy.

11. Your content and our intellectual property

You retain your rights in labels, notes, watchlists, shared-space contributions, and other content you submit (User Content). You must have the right to submit it and to grant any access you choose. Do not upload another person's secrets, credentials, or unlawfully obtained personal information.

You grant Wifhat a non-exclusive, worldwide, royalty-free license to host, process, reproduce, analyze, and display User Content to provide, secure, and maintain the Services, enable their features, and create the aggregated or de-identified information described below, including through service providers acting on our behalf. Disclosure and retention of User Content remain subject to your sharing settings, the Privacy Policy, and applicable law. Recipients of content you share may retain copies already received.

Subject to the Privacy Policy and applicable law, we may create and use aggregated or de-identified information derived from use of the Services and User Content for research, analytics, service improvement and development, and AI-assisted analysis. For user data obtained through the extension, and data derived from it, these purposes are limited to providing or improving the extension's disclosed single purpose and related operations permitted by applicable platform policies. This provision does not override a required notice, consent, or restriction on processing personal information.

We may restrict access to, disable, or remove User Content if we reasonably believe it violates these Terms or applicable law, infringes another person's rights, compromises privacy or security, or is subject to a valid legal removal requirement. We do not undertake to review or verify all User Content. To report a content issue, contact [email protected], identify the material, and explain the basis of your complaint. Our handling of User Content remains subject to the Privacy Policy and applicable law.

Wifhat and its licensors retain rights in the Frontrun software, brand, databases, and materials other than User Content. You receive a limited, non-exclusive, non-transferable permission to use the Services for their authorized purposes while you comply with these Terms. An express open-source license controls the components it covers. Publication of a compiled build does not, by itself, grant rights beyond its applicable license.

You may use the APIs and permitted automation within the access rights and limits we grant you. Redistribution, resale, commercial data licensing, or use beyond those rights requires a separate authorization.

If you voluntarily submit non-confidential suggestions or other feedback about the Services (Feedback), you grant Wifhat a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, incorporate, and commercialize that Feedback without payment to you. Feedback excludes other User Content and information submitted under a confidentiality obligation. This license remains subject to the Privacy Policy and applicable law.

12. Prohibited conduct

You must not use the Services to:

This does not prohibit the automated trading and API access expressly offered by Frontrun. We may investigate reasonably suspected violations of these Terms or abuse, restrict affected functionality, preserve relevant evidence, and comply with lawful requests, subject to our Privacy Policy and applicable law.

13. Digital-asset and technology risks

Using the Services exposes you to possible loss of all assets committed to a transaction. Risks include volatile prices, insufficient liquidity, slippage, malicious or impersonated tokens, token taxes, smart-contract defects, approval abuse, compromised devices, lost keys, phishing, signing-provider failures, blockchain congestion, reorganizations, forks, and attacks.

Automated features add risks from delayed or inaccurate observations, unavailable execution paths, changed liquidity, and differences between a trigger price and an achievable trade. A service interruption or safety check can prevent an order from executing. Monitoring or alert tools may miss an event.

You must assess these risks and avoid committing assets you cannot afford to lose. Section 16 governs liability for claims connected with these risks.

14. Service changes, suspension, and termination

We may update the Services and change supported features, networks, providers, or assets. We may suspend, restrict, or end access for a material breach, reasonably suspected abuse, a security or reliability issue, maintenance, capacity management, changes or interruptions in third-party services, a legal requirement, or discontinuation of a feature. Notice will be provided where required by applicable law. Immediate action may be necessary for a security, reliability, abuse, or legal issue.

Suspension may prevent execution or access through our interface. Do not assume that a suspension reverses an on-chain transaction, revokes an independent token approval, or cancels an instruction with another provider. Keep independent recovery materials and records.

You may stop using the Services at any time. Separately cancel outstanding orders and disable automatic renewal. Request account deletion or assistance through [email protected] as described in the Privacy Policy.

Termination ends your permission to use the Services but does not itself erase accrued payment obligations, Fee Cashback remaining payable under Section 9, required refunds, or mandatory legal rights. Provisions concerning accrued rights, intellectual property, risk allocation, liability, disputes, and the general contract terms continue as necessary to give them effect.

15. Service warranties

TO THE EXTENT THE LAW ALLOWS, THE SERVICES ARE PROVIDED IN THEIR CURRENT CONDITION AND SUBJECT TO AVAILABILITY. WE DO NOT GUARANTEE CONTINUOUS ACCESS; COMPLETE OR ERROR-FREE SOFTWARE, DATA, ROUTING, OR TRANSACTION FUNCTIONALITY; A PARTICULAR TRADING RESULT; OR COMPATIBILITY WITH EVERY DEVICE OR THIRD-PARTY PLATFORM. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THAT SAME EXTENT.

Features identified as beta or experimental may be changed or withdrawn and may contain additional defects.

Nothing here removes a warranty, service standard, or remedy that cannot lawfully be excluded.

16. Liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, WIFHAT, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONTRACTORS WILL HAVE NO LIABILITY FOR LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES, WHETHER THOSE LOSSES ARE CHARACTERIZED AS DIRECT OR INDIRECT; OR FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS EXCLUSION APPLIES TO CLAIMS CONNECTED WITH THESE TERMS OR THE SERVICES, INCLUDING CLAIMS ALLEGING NEGLIGENCE OR ANOTHER TORT, BREACH OF CONTRACT, OR STRICT LIABILITY, WHETHER OR NOT THE POSSIBILITY OF THE LOSS WAS KNOWN.

SUBJECT TO THE LIMITATIONS BELOW, THE AGGREGATE LIABILITY OF THOSE PARTIES TO YOU FOR CLAIMS ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED US$100, REGARDLESS OF WHETHER A CLAIM IS BASED ON CONTRACT, TORT, OR ANOTHER THEORY.

Nothing in this Section limits liability to the extent applicable law prohibits that limitation. This Section does not reduce the principal amount of valid earned Fee Cashback payable under Section 9 or any refund or repayment of fees or charges that applicable law requires us to return. Claims for additional damages relating to those amounts remain subject to the exclusions and aggregate cap above, except to the extent applicable law requires otherwise.

17. Third-party claims

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Wifhat, its affiliates, and their respective officers, directors, employees, agents, and contractors against third-party claims arising from your breach of these Terms, unlawful use of the Services, or infringement of another person's rights through User Content, including resulting damages, judgments, reasonable settlements, and reasonable legal and defense costs. This obligation does not apply to the extent indemnification is prohibited by applicable law.

We will notify you of a covered claim within a reasonable time. We may take control of its defense with counsel we select, and you will provide reasonable cooperation. A delay in notice relieves you of an obligation only to the extent the delay materially prejudices the defense. You may not settle a covered claim on our behalf without our written consent. No settlement controlled by us may admit your fault or impose a non-monetary obligation on you without your consent. This Section does not require a consumer to waive a claim protected by applicable law.

18. Dispute resolution

18.1 Initial notice

Before beginning a proceeding, send a description of the dispute and the remedy requested to [email protected]. We will send any notice to the contact information in your account. Both sides will attempt to resolve the dispute for 30 days after receipt. This process does not prevent urgent provisional relief, access to a regulator, or filing needed to preserve a limitation period. Any mandatory tolling requirement applies.

18.2 Individual arbitration

Except for the exceptions below and a valid opt-out, you and Wifhat agree to resolve disputes arising from these Terms or the Services by a single neutral arbitrator administered by the American Arbitration Association (AAA), or through the permitted substitute process in Section 18.3. The Federal Arbitration Act governs the arbitration agreement.

The AAA Consumer Arbitration Rules apply where the dispute falls within their scope; the AAA Commercial Arbitration Rules apply to other disputes, subject to the AAA's rules on applicability and fees. The applicable rules are available at adr.org. We will comply with applicable consumer clause review, fee, and administration requirements. The arbitrator may award the individual remedies available under applicable law and must provide a reasoned written decision.

Hearings may take place remotely. An in-person consumer hearing will take place at a location reasonably convenient for the consumer under the applicable AAA rules. Other hearings will take place in New Castle County, Delaware, unless the parties agree otherwise. Fees are allocated under the applicable AAA rules and law; we will bear any costs those rules or law require us to bear.

18.3 Exceptions and court access

Either party may bring an eligible individual claim in small claims court. Either may seek urgent provisional relief from a court where permitted without waiving arbitration of the remaining merits. You may contact a government agency or regulator. These Terms do not require arbitration where applicable law makes that requirement unenforceable.

A court determines whether an arbitration agreement was formed and whether the class waiver or arbitration agreement is enforceable. Other jurisdictional issues are handled under the applicable rules, subject to law.

If the AAA is unavailable for a reason other than a refusal or cessation that permits court proceedings under its applicable rules or applicable law, the parties may agree on a substitute administrator. If they cannot agree, either party may ask a court with jurisdiction to appoint an arbitrator under Section 5 of the Federal Arbitration Act, to the extent permitted by law. A permitted substitute process must preserve the applicable consumer protections, hearing arrangements, and cost allocation provided in this Section 18.

If the AAA declines or ceases administration for a reason that permits court proceedings under its applicable rules or applicable law, including nonpayment of required fees or noncompliance with applicable consumer due-process requirements, either party may proceed in court as those rules or law permit. Neither party may use substitution to avoid those requirements or a right to proceed in court. If no lawful substitute process is available, the dispute may proceed in a court with jurisdiction to the extent permitted by law. This Section does not eliminate a forum or remedy that applicable law requires to remain available.

18.4 Class proceedings

TO THE EXTENT PERMITTED BY LAW, YOU AND WIFHAT WILL PURSUE CLAIMS INDIVIDUALLY, RATHER THAN AS REPRESENTATIVES OR MEMBERS OF A CLASS. ARBITRATION UNDER THESE TERMS DOES NOT AUTHORIZE A CLASS-WIDE AWARD.

This restriction does not prevent public injunctive relief or another remedy that cannot lawfully be waived. Related individual filings remain subject to any applicable AAA mass-arbitration procedures. If the class waiver is unenforceable for a particular claim, that claim proceeds in court to the extent required, and legally separable individual claims remain subject to arbitration.

18.5 Opt-out

You may reject the arbitration agreement and class waiver by emailing [email protected] within 30 days after first accepting these Terms. Identify the account and clearly state that you opt out of arbitration and the class waiver. We will not require a reason or impose a penalty. A timely opt-out binds both sides and leaves the rest of these Terms in place.

Changes to the dispute terms will not apply retroactively to an existing dispute without both parties' agreement. Any new acceptance or opt-out rights required by law will be provided.

19. Governing law and courts

Delaware law governs these Terms, excluding its conflict-of-law rules, except that federal law governs where applicable, including the Federal Arbitration Act. This choice does not deprive a consumer of mandatory protections under the law otherwise applicable to that consumer.

For a dispute that properly proceeds in court, the parties submit to state or federal courts in New Castle County, Delaware, except where a small claims right or mandatory consumer venue rule permits another court. The consumer hearing provision in Section 18 is not overridden by this clause.

20. Taxes

You are responsible for determining and paying taxes applicable to your activity, including transactions, asset dispositions, rebates, and rewards. We do not promise a particular tax treatment or that calling a payment cashback makes it tax-free. We may request tax information, make legally required reports, or withhold amounts where the law requires. This does not transfer Wifhat's own reporting, withholding, or payment duties to you.

21. Changes to these Terms

We may amend these Terms prospectively and identify the effective date of an updated version. We will provide notice of material changes and obtain affirmative acceptance where required by applicable law. Notice may be provided through the Services or an available account contact where legally permitted.

A change cannot retroactively remove earned Fee Cashback, alter a completed charge, or extinguish an existing claim. Subscription pricing changes and changes to dispute resolution remain subject to Sections 8 and 18. If you do not accept a change, stop the affected use, disable renewal, and cancel outstanding orders as appropriate; rights already accrued remain governed by the applicable prior terms.

22. General provisions and contact

These Terms and the additional agreements that validly apply to your chosen features constitute the agreement for those Services. A failure to enforce a provision immediately does not waive it. An invalid provision is removed or narrowed only as legally permitted, and the remainder continues subject to Section 18's specific rules.

You may not transfer this agreement without our consent except where law permits. Wifhat may transfer it in a corporate reorganization or transfer of the relevant business, provided the successor assumes the obligations, including valid earned cashback and required refunds, and any required notice is given.

Neither party is responsible for delay caused by events beyond reasonable control to the extent legally excused. Such an event does not erase accrued payment obligations or authorize retention of money required to be returned.

The English version controls differences in translations unless applicable law requires otherwise. Notices can be given electronically where legally permitted; this does not replace formal service of legal process where a particular method is required.
